Hur ska bankerna tjänar pengar?

MasterCard Inc. (MA) executives on Thursday downplayed the potential threat a

European regulatory proposal could have on revenue it receives from banks but

said it continues to expect consumers to face higher costs if the rules are

adopted.

Under the proposal to limit transaction fees paid by merchants, regulators

are loading all the cost of using credit and debit cards on consumers, said

Javier Perez, president of MasterCard Europe. We dont think thats right. We

think the cost of a transaction should be borne by merchants and consumers.

The comments, made during a conference call with analysts, come a day after a

European Union commissioner accused MasterCard of waging an aggressive lobbying

campaign against the proposal.

I have seen a lot of lobbying over the past three years, but I never saw

that: advertorials, biased information, solicited interviews, false information

to contest a proposal by the European Commission, Michel Barnier, the EU

commissioner in charge of financial-market regulation, said during a press

conference Wednesday. He called the MasterCard lobbying effort insane and

fairly astonishing.

Mr. Perez didnt specifically address Mr. Barniers comments but said

MasterCard is fully supportive of the European Commissions goal of

encouraging more competition and efficiency in the electronic-payments

industry. MasterCard will be one of several parties weighing in on the proposal

during a lengthy process that will determine if the restrictions are ultimately

adopted, he said.

The proposal would limit so-called interchange fees that determine how much

merchants pay to accept credit and debit cards. The financial regulator is

calling for debit-card fees to be capped at 0.2% of a transaction value and

credit-card fees to be capped at 0.3% of a transaction value.

The proposal could have far-reaching implications for the card companies,

potentially sparking additional scrutiny for payment networks in other parts of

the world, according to Rod Bourgeois, an analyst with Sanford C. Bernstein.

We believe Europes regulatory push increases the risk that similar

regulations might be introduced in countries outside of Europe, Mr. Bourgeois

wrote in a research note on Thursday. We reiterate our view that the payments

industry worldwide is prone to experience a slippery slope of regulation.

In addition to capping interchange fees, the European proposal would also

prohibit companies like MasterCard from tying or bundling the sale of

transaction-processing services and card-branding services.

MasterCard doesnt require that purchases made with its cards to also be

processed over its payments network, Mr. Perez said, adding he believes the

company is already in compliance with that proposal. MasterCard currently

processes well below half of all point-of-sale transactions that are

performed with its cards, he said.

Mr. Perez declined to discuss the potential revenue impact the proposal could

have if adopted.

The proposal is the latest move by regulators to rein in fees that retailers

around the world pay each time a consumer swipes a credit or debit card.

Merchants have long argued payment networks like MasterCard and Visa Inc. (V)

have exerted their market power to fix the price of the transaction fees, known

as interchange fees, at unfairly high levels. They also complain that the

payment networks various rules, such as those limiting merchants ability to

reject certain types of cards, have prevented them from controlling their costs

for accepting cards.

The payment networks argue the fees are necessary to pay for the

infrastructure banks require to authorize card payments and take steps to weed

out fraudulent transactions. They also say accepting cards is more cost

efficient than accepting cash and checks, and helps drive additional business

to retailers.

MasterCard and Visa set interchange fees for the banks that issue their

cards. The fees ultimately are paid to the banks as revenue. But investors

worry that a drop in interchange revenue could lead the banks to pressure

MasterCard and Visa to lower separate fees the financial institutions pay to

use their processing networks.

Mr. Perez and Noah Hanft, general counsel for MasterCard, said they dont

expect the European proposal would result in a decline in such network fees,

noting that has not happened in past instances when regulators have limited

interchange.

MasterCards shares were up 1.4% at $599.22 in recent trading. The shares are

up more than 21% this year.

The European proposal, which must be approved by EU member states and the

European Parliament in a process that can take years, would apply to MasterCard

and Visa Europe, which is a licensee of Visa Inc. and isnt owned by the U.S.

company. As such, Visa Inc. isnt directly affected by the proposal, analysts

say.

Companies that operate so-called closed-loop payment networks, such as

American Express Co. (AXP) and Discover Financial Services (DFS) Diners Club

network, arent directly affected by the fee caps. However, American Express,

which issues its own credit cards, would be covered by the limits when it

licenses its network to other banks to issue cards.

Furor among U.S. merchants led to new limits in 2011 on debit-card

interchange fees, which were cut in half by the rules. The regulation, part of

the Dodd-Frank financial overhaul legislation, also banned payment networks and

banks from having exclusive processing relationships for debit cards, a move

intended to give merchants more control over their costs.

But U.S. retail lobbyists have continued to assail Visa and MasterCard in the

wake of a $7.25 billion class-action settlement the companies reached last year

with merchants over credit-card interchange fees. The settlement, which

received preliminary approval from a federal judge in November, would end

litigation retailers filed against Visa, MasterCard and several large banks in

2005, but some merchants oppose the deal because they say it wont prevent

transaction fees from rising in the future.

On Tuesday, Canadas Competition Tribunal dismissed a case against the

payment networks brought by the countrys consumer watchdog alleging the

companies of anticompetitive practices.
